1. Agreement and eligibility
By creating an account, selecting “I agree,” or using POSONLY, the merchant agrees to these Terms and the Privacy Policy. The person accepting represents that they are legally capable and authorized to bind the merchant. If these Terms are not accepted, the service must not be used.
2. Accounts and authorized users
The merchant must provide accurate information, protect credentials, assign appropriate roles and branches, remove access promptly when a user leaves or changes duties, and remain responsible for activity under its accounts. Accounts may not be shared in a way that defeats user limits, auditability, or security controls.
3. Trial, plans, and payment
Self-service plans may include a stated free trial. Paid access, branch limits, user limits, billing cycle, grace period, and features depend on the selected plan. Subscription payments are submitted using the payment destinations shown in the merchant billing workspace and become effective after verification. The final production terms must state taxes, refunds, renewal, cancellation, and price-change notice periods.
4. Merchant data and business records
The merchant owns or controls the business data it enters and grants the operator permission to host, process, back up, and transmit that data only as reasonably needed to provide, secure, support, and improve the contracted service. The merchant is responsible for lawful collection, accuracy, required notices, retention decisions, and having rights to enter supplier, staff, and customer information.
5. POS, inventory, and reporting responsibility
POSONLY assists with checkout, receipts, stock movements, purchasing, supplier ledgers, and reports. The merchant must verify prices, tax treatment, discounts, quantities, cash counts, payment references, opening balances, and corrections. Software records do not replace physical counts, reconciliation, management review, or professional accounting advice.
6. Philippine tax and regulatory use
VAT-aware summaries, sales invoices, exports, and BIR-related working papers are operational tools and are not a certification, filed return, or guarantee of regulatory approval. Before production use, the merchant must configure its registered name, TIN, address, POS permit, machine identification, serial details, and any other required information, and must consult qualified tax and legal professionals about current registration, invoicing, retention, and filing obligations.
7. Acceptable use
Users must not access another merchant’s data; probe, bypass, disable, or overload security; upload malware; use the service for fraud or unlawful activity; scrape or reverse engineer protected portions; send spam; enter unnecessary sensitive information; infringe rights; or use accounts, APIs, or automation beyond documented limits.
8. Availability, maintenance, and changes
The operator may perform maintenance, security updates, backups, and product changes. Internet, device, power, browser, printer, third-party payment, and hosting interruptions may affect availability. Any production service-level commitment, maintenance notice, backup objective, or support response time must be stated in the applicable plan or service order.
9. Suspension and termination
Access may be suspended for overdue payment after the applicable grace period, security risk, unlawful use, material breach, or threats to the platform or other users. The merchant may stop using the service and request cancellation under the applicable plan terms. Production policy must define the period and method for exporting data before deletion, subject to lawful retention and backups.
10. Intellectual property
POSONLY software, design, documentation, trademarks, and platform materials remain owned by the operator or its licensors. The merchant receives a limited, non-exclusive, non-transferable right to use the service during its authorized subscription. Merchant data and merchant trademarks remain with the merchant. Feedback may be used to improve the service without identifying confidential merchant information.
11. Privacy and confidentiality
Personal information is handled under the Privacy Policy and applicable data-processing terms. Each party must protect non-public business, technical, security, and customer information using reasonable safeguards and disclose it only to authorized persons or when lawfully required.

12. Disclaimers and liability
To the extent permitted by law, the service is provided subject to the written plan and service order and is not a substitute for business continuity planning, professional advice, statutory review, or independent backups and reconciliations. The final production agreement must contain legally reviewed warranty disclaimers, exclusions, liability caps, indemnities, and remedies appropriate to the operator and customer relationship.
13. Governing law and disputes
The final production agreement should identify the law of the Republic of the Philippines, the agreed dispute-resolution process, notices, and the court or venue with jurisdiction, after review by Philippine counsel. Mandatory consumer or data-protection rights remain unaffected where they apply.
14. Changes and contact
Material changes to these Terms should be announced through the service or account email and identified by a revised effective date. Continued use after the effective date constitutes acceptance where permitted by law. Questions may be submitted through the POSONLY contact form.
